Terms and Conditions for Kintsugi Workshops — Businesses & Professionals

LEGAL FRAMEWORK FOR COMPANY WORKSHOPS

These Terms and Conditions apply to orders placed on the Kintsugi Art® online store by any consumer customer.

Any order or acceptance of a quote implies the Client's full and complete acceptance of these General Terms and Conditions, unless otherwise expressly agreed in writing between the parties.

PURPOSE AND SCOPE

The purpose of these General Terms and Conditions is to define the conditions under which Kintsugi Art® designs and delivers workshops, animations and services around Kintsugi for a professional clientele.

They apply in particular to services provided in the context of seminars, team building, corporate events, brand events, cultural activities or other professional events.

The specific characteristics of each service — date, location, duration, number of participants, content, equipment provided and price — are specified in the quote sent to the Client.

In the event of any conflict between these General Terms and Conditions and the specific conditions contained in a quote accepted by both parties, the specific conditions of the quote shall prevail.

ARTICLE 3

SERVICES OFFERED

Kintsugi Art® offers, among other things:

Kintsugi workshops for businesses

A group introduction to the art and techniques of Kintsugi, adapted to the context and objectives of the event.

Kintsugi Team Building

Workshop designed around values such as repair, transformation, resilience, cooperation and the appreciation of imperfections.

Customized programs

Seminars, brand events, cultural events, institutional interventions or other customized formats are subject to a specific quote.

Corporate gifts and gift sets

A group introduction to the art and techniques of Kintsugi, adapted to the context and objectives of the event.

The exact content of the service is that contained in the quote accepted by the Client.

ARTICLE 4

QUOTE AND CONTRACT FORMATION

Each service is subject to a quote specifying, in particular, depending on the project

  • the nature of the service;

  • the date and times;

  • The place;

  • the duration;

  • the expected number of participants;

  • services and equipment included;

  • the price excluding taxes and, where applicable, including all taxes;

  • any travel, accommodation or other related expenses;

  • the payment terms;

  • any special conditions.

Unless otherwise stated, the quote is valid for the period mentioned on it.

The order becomes firm after written acceptance of the quote by the Client and, where applicable, receipt of the required deposit.

Any subsequent modification of the service must be subject to a written agreement between Kintsugi Art® and the Client and may result in a change in price.

ARTICLE 5

PRICES

Prices are established based on the characteristics of each service, including its duration, location, number of participants, necessary equipment and any special requests from the Client.

The applicable rates are those listed in the accepted quote.

Unless otherwise stated in the quote, the price includes:

  • the preparation and facilitation of the workshop;

  • the materials needed to carry out the service;

  • urushi lacquer when the proposed technique requires its use;

  • The necessary tools;

  • the protective equipment provided by Kintsugi Art® for handling urushi, including disposable gloves, sleeves and aprons.

Travel, transport, accommodation, room rental or other specific costs are indicated separately when they are not included in the price of the service.

ARTICLE 6

BILLING AND PAYMENT TERMS

  • The terms and payment deadlines are specified in the quote and on the invoice.

  • When a deposit is required, its amount and due date are indicated in the quote.

  • No discount is given for early payment, unless specifically provided for in the quote.

  • In the event of late payment, penalties are automatically due from the day following the payment date shown on the invoice, without the need for a reminder.

  • Unless otherwise provided in accordance with applicable regulations, the rate of late payment penalties corresponds to the interest rate applied by the European Central Bank to its most recent refinancing operation, plus 10 percentage points.

  • Any professional in a situation of late payment is also automatically liable for a fixed compensation of 40 euros for recovery costs.

  • When the actual recovery costs incurred are higher than this fixed compensation, Kintsugi Art® may claim additional compensation upon justification, in accordance with applicable regulations.

ARTICLE 7

NUMBER OF PARTICIPANTS

The price is based on the number of participants indicated in the quote.

The Client agrees to communicate to Kintsugi Art® any significant change in the number of participants as soon as possible and, if possible, at least seven days before the date of the workshop.

An increase in the number of participants may require adjustments to the equipment, organization, or number of speakers, and may result in an adjustment to the price.

The price is based on the number of participants indicated in the quote. Any change in the number of participants must be communicated at least 7 days before the workshop date and may result in a price adjustment.

ARTICLE 8

WORKSHOP RECEPTION CONDITIONS AND ORGANIZATION
When the service is performed on the Client's premises or at a location chosen by the Client, the Client shall ensure that a space suitable for the activity and the number of participants is provided.

ARTICLE 9

SAFETY AND HANDLING OF URUSHI LACQUER
Urushi lacquer is a natural resin traditionally used in the art of Kintsugi. It contains urushiol, a substance naturally present in the sap of the lacquer tree and which may cause an allergic or irritative skin reaction in some people upon direct contact with the skin.

 
The service provider is covered by professional liability insurance. However, they cannot be held liable if a participant fails to comply with the safety instructions provided at the beginning of the workshop, nor for damages resulting from an undisclosed allergy.

  • inform participants of the main precautions relating to the materials used;
  • provide the protective equipment required for handling urushi;
  • to supervise the handling of materials during the workshop;
  • implement the means reasonably necessary for the proper execution of the service.

ARTICLE 11

CUSTOMER OBLIGATIONS
The Client agrees to:
The items entrusted by the Provider during the Discovery Workshop (assembly cup) are provided as part of the service. For the Signature Workshop, if the Client wishes to have personal items restored, their condition and value must be reported to the Provider before the workshop; the Provider cannot be held responsible for pre-existing damage that was not reported.

  • inform Kintsugi Art® of any particular constraints related to the location of the service;
  • to provide a space that meets the agreed conditions;
  • ensure compliance with the schedules and organizational conditions planned;
  • ensure that participants follow the general instructions given by the facilitator during the workshop.
The Client must not present the activity or the materials used in a manner contrary to the safety information communicated by Kintsugi Art®.

ARTICLE 12

PROCEDURE TO FOLLOW IN CASE OF CONTACT WITH OR REACTION TO URUSHI
In case of accidental contact with urushi lacquer, the participant must immediately inform the instructor and follow the cleaning and precautionary instructions given to them.
The Provider shall not be held liable for the non-performance of its obligations in the event of force majeure, as defined by French case law.

Any request for cancellation or postponement must be addressed in writing to Kintsugi Art®.
