TERMS AND CONDITIONS — KINTSUGI WORKSHOPS FOR BUSINESSES & PROFESSIONALS
LEGAL FRAMEWORK FOR COMPANY WORKSHOPS
These Terms and Conditions apply to orders placed on the Kintsugi Art® online store by any consumer customer.
Any order or acceptance of a quote implies the Client's full and complete acceptance of these General Terms and Conditions, unless otherwise expressly agreed in writing between the parties.

ARTICLE 2
PURPOSE AND SCOPE
The purpose of these General Terms and Conditions is to define the conditions under which Kintsugi Art® designs and delivers workshops, animations and services around Kintsugi for a professional clientele.
They apply in particular to services provided in the context of seminars, team building, corporate events, brand events, cultural activities or other professional events.
The specific characteristics of each service — date, location, duration, number of participants, content, equipment provided and price — are specified in the quote sent to the Client.
In the event of any conflict between these General Terms and Conditions and the specific conditions contained in a quote accepted by both parties, the specific conditions of the quote shall prevail.
ARTICLE 3
SERVICES OFFERED
Kintsugi Art® offers, among other things:
Kintsugi workshops for businesses
A group introduction to the art and techniques of Kintsugi, adapted to the context and objectives of the event.
Kintsugi Team Building
Workshop designed around values such as repair, transformation, resilience, cooperation and the appreciation of imperfections.
Customized programs
Seminars, brand events, cultural events, institutional interventions or other customized formats are subject to a specific quote.
Corporate gifts and gift sets
A group introduction to the art and techniques of Kintsugi, adapted to the context and objectives of the event.
The exact content of the service is that contained in the quote accepted by the Client.
ARTICLE 4
QUOTE AND CONTRACT FORMATION
Each service is subject to a quote specifying, in particular, depending on the project
-
the nature of the service;
-
the date and times;
-
The place;
-
the duration;
-
the expected number of participants;
-
services and equipment included;
-
the price excluding taxes and, where applicable, including all taxes;
-
any travel, accommodation or other related expenses;
-
the payment terms;
-
any special conditions.
Unless otherwise stated, the quote is valid for the period mentioned on it.
The order becomes firm after written acceptance of the quote by the Client and, where applicable, receipt of the required deposit.
Any subsequent modification of the service must be subject to a written agreement between Kintsugi Art® and the Client and may result in a change in price.
ARTICLE 5
PRICES
Prices are established based on the characteristics of each service, including its duration, location, number of participants, necessary equipment and any special requests from the Client.
The applicable rates are those listed in the accepted quote.
Unless otherwise stated in the quote, the price includes:

the preparation and facilitation of the workshop;

the materials needed to carry out the service;
-
urushi lacquer when the proposed technique requires its use;

The necessary tools;
-
the protective equipment provided by Kintsugi Art® for handling urushi, including disposable gloves, sleeves and aprons.

Travel, transport, accommodation, room rental or other specific costs are indicated separately when they are not included in the price of the service.
ARTICLE 6
BILLING AND PAYMENT TERMS

The terms and payment deadlines are specified in the quote and on the invoice.

When a deposit is required, its amount and due date are indicated in the quote.

No discount is given for early payment, unless specifically provided for in the quote.

In the event of late payment, penalties are automatically due from the day following the payment date shown on the invoice, without the need for a reminder.

Unless otherwise provided in accordance with applicable regulations, the rate of late payment penalties corresponds to the interest rate applied by the European Central Bank to its most recent refinancing operation, plus 10 percentage points.

Any professional in a situation of late payment is also automatically liable for a fixed compensation of 40 euros for recovery costs.

Where the recovery costs actually incurred exceed this fixed compensation, Kintsugi Art® may claim additional compensation upon presentation of supporting evidence, in accordance with the applicable regulations.
ARTICLE 7
NUMBER OF PARTICIPANTS
The price is based on the number of participants indicated in the quote.
The Client agrees to communicate to Kintsugi Art® any significant change in the number of participants as soon as possible and, if possible, at least seven days before the date of the workshop.
An increase in the number of participants may require adjustments to the equipment, organization, or number of speakers, and may result in an adjustment to the price.
A reduction in the number of participants after acceptance of the quotation shall not automatically result in a reduction of the agreed price, particularly where Kintsugi Art® has already committed to the necessary equipment, supplies or resources..
ARTICLE 8
WORKSHOP RECEPTION CONDITIONS AND ORGANIZATION
When the service is performed on the Client's premises or at a location chosen by the Client, the Client shall ensure that a space suitable for the activity and the number of participants is provided.
The venue must, in particular, allow for the participants and equipment to be accommodated under suitable working and safety conditions.
Where required for the provision of the service, the Client shall also ensure access to a water supply and to any equipment or facilities specified in advance by Kintsugi Art®.
Kintsugi Art® shall inform the Client, prior to the service where necessary, of the main technical and practical requirements necessary for the proper conduct of the workshop.
ARTICLE 9
SAFETY AND HANDLING OF URUSHI LACQUER
Urushi lacquer is a natural resin traditionally used in the art of Kintsugi. It contains urushiol, a substance naturally present in the sap of the lacquer tree and which may cause an allergic or irritative skin reaction in some people upon direct contact with the skin.
To minimise the risks associated with handling Urushi, Kintsugi Art® implements appropriate preventive measures throughout the workshop.
Before handling any materials, participants are informed of the necessary safety precautions. In particular, they are instructed to avoid direct contact with Urushi lacquer, refrain from touching their face while handling it, and follow the instructions provided by the instructor.
Kintsugi Art® provides the protective equipment required for the service, including disposable gloves, protective arm sleeves and aprons.
Participants must wear the protective equipment provided to them and follow the instructions given by Kintsugi Art® at all times when handling urushi.
Kintsugi Art® reserves the right to stop a participant from continuing the activity if they fail to comply with the safety instructions, where continuing the activity could pose a risk to themselves or to other participants.
ARTICLE 10
KINTSUGI ART® OBLIGATIONS
Kintsugi Art® is committed to:

prepare and provide the service in accordance with the accepted quotation;

provide the equipment and materials specified in the quotation;
-
inform participants of the main precautions relating to the materials used;
-
provide the protective equipment required for handling Urushi;
-
to supervise the handling of materials during the workshop;
-
implement the means reasonably necessary for the proper execution of the service.

reiterate the safety instructions whenever necessary;
Kintsugi Art® remains free to determine its teaching, artistic and technical methods, subject to compliance with the commitments expressly set out in the quotation.
ARTICLE 11
CUSTOMER OBLIGATIONS
The Client agrees to:
-
provide Kintsugi Art® with the information required to prepare the workshop;
-
provide participants, prior to the workshop, with the information and preliminary instructions supplied by Kintsugi Art®;
-
inform Kintsugi Art® of any particular constraints related to the location of the service;
-
to provide a space that meets the agreed conditions;
-
ensure compliance with the agreed schedule and organisational arrangements;
-
ensure that participants follow the general instructions given by the facilitator during the workshop.
The Client must not present the activity or the materials used in a manner contrary to the safety information communicated by Kintsugi Art®.
ARTICLE 12
PROCEDURE TO FOLLOW IN CASE OF CONTACT WITH OR REACTION TO URUSHI
In case of accidental contact with urushi lacquer, the participant must immediately inform the instructor and follow the cleaning and precautionary instructions given to them.
If a skin reaction, irritation or any other symptoms occur during or after the workshop, the participant is advised to seek medical advice and inform the healthcare professional of possible exposure to urushiol.
Kintsugi Art® does not provide medical diagnoses and is not a substitute for a healthcare professional.
ARTICLE 13
CANCELLATION OR POSTPONEMENT BY THE CLIENT
Any request for cancellation or postponement must be addressed in writing to Kintsugi Art®.
The financial consequences of any cancellation or rescheduling shall be as set out in the accepted quotation.
Unless otherwise specified in the quotation, Kintsugi Art® may charge for expenses and costs already incurred specifically for the provision of the service, including purchases of materials, special preparations, bookings, travel expenses or other non-recoverable costs.
Where the parties agree to reschedule the service, any amounts already paid may be applied to the rescheduled service, in accordance with the terms agreed between the parties.
ARTICLE 14
CANCELLATION OR RESCHEDULING BY KINTSUGI ART®
If Kintsugi Art® is unable to provide the service on the agreed date, the Client shall be informed as soon as possible.
The parties shall give priority to agreeing on a new date to reschedule the service.
If no rescheduling can be agreed upon and the service cannot be provided, any amounts paid for the unperformed service shall be refunded to the Client, subject to the applicable provisions in cases of force majeure.
ARTICLE 15
LIABILITY
Kintsugi Art® is responsible for the proper performance of its obligations in accordance with the applicable regulations and the accepted quotation.
The Client remains responsible for complying with the obligations imposed upon them under these General Terms and Conditions of Sale and the quotation, particularly with regard to the practical arrangements required for the provision of the service.
Each participant is required to comply with the safety instructions provided by Kintsugi Art® and to use the protective equipment made available to them correctly.
Kintsugi Art® shall not be held liable for any damage resulting directly from a participant’s clear failure to comply with safety instructions, subject to any applicable mandatory legal provisions and Kintsugi Art®’s own obligations.
No provision of these General Terms and Conditions of Sale is intended to exclude or limit any liability that cannot legally be excluded or limited.
ARTICLE 16
OBJECTS CREATED DURING THE WORKSHOP
Objects created by participants during the workshop are intended primarily for educational, artistic or decorative purposes.
Unless expressly stated otherwise by Kintsugi Art®, no guarantee is given as to their suitability for food contact, dishwasher, oven or microwave use, or for any use involving specific thermal or mechanical stresses.n.
Any instructions provided at the end of the workshop regarding drying, storage, handling or use must be followed.
ARTICLE 17
INTELLECTUAL PROPERTY
The educational content, documents, materials, presentation methods, texts, photographs, videos, illustrations and other content provided or presented by Kintsugi Art® remain protected by applicable intellectual property rights.
Unless prior written authorisation has been obtained from Kintsugi Art®, they may not be reproduced, distributed, adapted, commercialised or used to organise or reproduce a similar service, beyond the rights legally granted to the Client.
Participation in a workshop does not entail any transfer of Kintsugi Art®’s intellectual property rights.
ARTICLE 18
PHOTOGRAPHS, VIDEOS AND COMMUNICATION
The taking and use of photographs or videos in which participants can be identified are subject to the applicable rules governing image rights and the protection of personal data.
Where Kintsugi Art® wishes to use identifiable images of participants for communication, promotional or publication purposes, the necessary authorisations shall be obtained in accordance with the applicable requirements.
The Client may not use the Kintsugi Art® name, trademark, creations or materials in any way that implies the existence of a partnership, sponsorship or authorization that has not been expressly agreed upon.
ARTICLE 19
CONFIDENTIALITY
Each party undertakes to maintain the confidentiality of any information identified as confidential that it may become aware of in connection with the preparation or performance of the service.
This obligation does not apply to information that is already publicly available, lawfully obtained from a third party, or required to be disclosed by law or regulation.
ARTICLE 20
Applicable law and disputes
Neither party shall be held liable for any failure or delay in the performance of its obligations resulting from an event that meets the legal requirements of force majeure.
These Terms and Conditions are governed by French law. In the event of a dispute, an amicable solution will be sought before any legal action is taken. Failing an agreement, the competent courts of Bordeaux shall have exclusive jurisdiction.
Where possible, the parties shall seek a solution allowing the service to be rescheduled or adapted.
ARTICLE 21
Applicable law and disputes
Personal data provided in connection with a request for a quote, an order or the organization of a workshop is processed by Kintsugi Art® for the purposes of managing the business relationship, preparing and executing the service, invoicing and complying with its legal obligations.
The individuals concerned have the rights provided for by the applicable regulations on the protection of personal data.

ARTICLE 23
GOVERNING LAW AND DISPUTE RESOLUTION
These General Terms and Conditions of Sale, as well as the services to which they relate, are governed by French law.
In the event of a dispute relating to the formation, interpretation, performance or termination of the contract, the parties shall first endeavour to reach an amicable settlement.
If no amicable agreement can be reached, the dispute shall be referred to the competent court in accordance with the applicable rules of procedure.
Where the conditions set out in Article 48 of the French Code of Civil Procedure are met, particularly where all parties have entered into the contract in their capacity as traders, any clause conferring territorial jurisdiction must have been expressly agreed upon and presented in a highly visible manner in the agreement to which it relates.
